This MOU was signed by Michael Lonsdale (SESA President) and Professor Joseph Kasser (INCOSE Australia Chapter Chair) on the 9th November 2004 at the SETE2004 conference, Adelaide.
1. Definitions and Parties
This Memorandum of Understanding (MoU) defines the terms of an Affiliation Agreement between the Systems Engineering Society of Australia (SESA) and the Australian Chapter of the International Council on Systems Engineering (INCOSE Australia). SESA and INCOSE Australia are referred to as the “Parties” to this MoU.
SESA is a Technical Society of the Institution of Engineers Australia (IE Aust) and must abide by the IE Aust Rules for Technical Societies. All members of SESA must conform to the code of conduct expected by the IE Aust. The affairs of SESA must be conducted in accordance of the SESA Constitution as approved by the IE Aust.
2. Background
The SESA Mission is foster the definition, understanding, practice, and advancement of Systems Engineering in Australian industry, academia, and government.
SESA believes its mission is best fulfilled through being a Technical Society of the Institution of Engineers Australia, with established affiliation arrangements with other national and international organisations.
The INCOSE mission is to foster the definition, understanding, and practice of world-class systems engineering in industry, academia, and government.
The absence of a formal INCOSE chapter in Australia meant that the chapter portion of the membership dues were not available to benefit INCOSE Members in Australia.
There should be only one Systems Engineering organisation in Australia. INCOSE-Australia was formed to be part of SESA and provide INCOSE products and services to the sub-set of SESA members who wish to receive them.
Without this MoU, systems engineers living in Australia who join SESA and wish to receive INCOSE products and services are required to pay membership dues to both organisations.
3. Duration
This MOU takes effect on the date of signature, and continues until terminated by mutual consent of the Parties. During this period, the Parties may discuss the relationship between INCOSE Australia and SESA, with a view to either extending this MoU or replacing this MoU with a new agreement.
4. Terms
4.1 General
During the period of effect of this MoU,
All chapters of one party will also be deemed as being chapters of the other party, and hence their activities will be those of both parties. For example, meetings of the SA Chapter of SESA will also be meetings of the SA Chapter of INCOSE-Australia.
4.2 Membership
INCOSE Australia will appoint a nominated representative who will be responsible for providing, on request, the names, postal addresses, and e‑mail addresses of its members to the SESA Membership Administrator. The list will be provided in full each time (typically quarterly), in a MS Windows CSV format.
SESA will not maintain membership information for SESA Members joining through INCOSE, but will rely on the information provided by the INCOSE Australia nominated representative in order to contact members.
4.3 Newsletters
Each edition of the SESA Newsletter will be mailed to all SESA Members.
Each edition of the INCOSE printed journals will be mailed direct to INCOSE Australia members by INCOSE, and will not be available to SESA Members who are not also members of INCOSE-Australia.
4.4 Other Material and Services
The SESA Forum email reflector will include the email addresses of all SESA Members. Individual members may elect to unsubscribe from the reflector.
INCOSE products and services, such as the “Members Only” area of the INCOSE Internet website will be available only to INCOSE Members.
4.5 Working Parties
All Working Parties will be deemed to be SESA Working Parties, regardless of the origin of membership affiliations of the convener or the majority of delegates to the working party.
SESA and INCOSE will make the findings and recommendations of all Working Parties freely available for publication in their Newsletters and Journals.
4.6 Conferences and Proceedings
All SESA Members are encouraged to participate in the organizing committees for Systems Engineering Conferences, Workshops, Information Sessions, and Seminars held within Australia, its States and Territories, and are similarly entitled to register as delegates to these events at the advertised member rates.
4.7 Official Positions, Elections, and Voting
The IEAust requires, as a minimum, that the President/Chair, Treasurer and Secretary of a Technical Society be members of IEAust. In the spirit of this principle, SESA Members joining through INCOSE may not be nominated for the positions of SESA National President (including President elect), SESA National Deputy President, SESA National Secretary, SESA National Treasurer or SESA National Secretary, unless they are also members of the IEAust.
All SESA Members are entitled to be nominated for, or volunteer for, any other position on the SESA Management Committee (this includes State Chapter Chairs). All SESA Members are entitled to vote in any election of office bearers for SESA, and vote in respect of any motion that is put at an Annual General Meeting or Special General Meeting of SESA.
Only INCOSE‑Australia members may be nominated to be office bearers of the Australian Chapter of INCOSE, and may vote in such elections of office bearers.
Only INCOSE Australia members are entitled to vote in respect of any motion that is put at an Annual General Meeting or Special General Meeting of INCOSE Australia.
INCOSE-Australia shall have the same representation on the SESA National Board as any other special interest or working group.
5. Amendment of MOU
The MoU may be amended during the course of the period of effect if the Parties identify new areas of collaboration.
6. Consideration
INCOSE Australia will instruct INCOSE to forward the chapter portion of the INCOSE membership dues, for those systems engineers who have elected INCOSE-Australia as their chapter, directly to SESA at such time as INCOSE forwards these sums to other INCOSE chapters. [The intent here is to avoid the need for INCOSE-Australia to maintain a separate bank account.]
